Terms of Service

1. Introduction

Welcome to Reel Zap. These Terms of Service ("Terms" or "Agreement") govern your use of the Reel Zap platform, including all related products, services, and features (collectively, the "Service").

The Service is provided by Spooky House Studios UG (haftungsbeschränkt), registered in the commercial register (Handelsregister) of the Amtsgericht Leipzig under HRB 26050, with its registered office at Otto-Schmidt-Str. 9, 04425 Taucha, Deutschland (referred to as "Spooky House Studios", "Company", "we", "us", or "our").

Reel Zap is the trade name of the Service operated by Spooky House Studios UG.

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not use the Service.

2. Who May Use the Service

2.1 Age Requirements

You must be at least 16 years old to use the Service. If you are under 18, you represent that you have your parent's or guardian's consent to use the Service. Parents or legal guardians are responsible for their child's activity on the Service.

2.2 Businesses

If you are using the Service on behalf of a company or organization, you represent that you have authority to act on behalf of that entity, and that such entity accepts these Terms.

3. Your Account

You may be required to create an account to use the Service. You agree to provide accurate information and to keep your account credentials secure. You are responsible for all activity under your account.

You may sign in using third-party authentication providers (such as Google or Apple). By doing so, you permit us to access certain information from such providers as described in our Privacy Policy.

4. Your Use of the Service

4.1 License

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for personal or commercial purposes (if you are a subscriber of a paid plan).

4.2 Restrictions

You agree not to:

Use the Service in violation of any applicable law or regulation;
Infringe upon the intellectual property rights, privacy rights, or other rights of any third party;
Upload content that is illegal, harmful, defamatory, obscene, or otherwise objectionable;
Attempt to reverse-engineer, decompile, or extract the source code of the Service;
Use the Service to develop competing products or services;
Interfere with or disrupt the Service or its infrastructure;
Use automated tools to scrape, crawl, or spider the Service;
Share your account credentials with others;
Use the Service to distribute unsolicited commercial communications (spam);
Knowingly use another person's name, voice, likeness, or image without proper authorization.

Violation of these restrictions may result in immediate termination of your access to the Service.

5. Content

5.1 Your Content

You retain ownership of all content you upload to the Service ("User Content"). By uploading User Content, you grant us a worldwide, non-exclusive, royalty-free license to use, process, store, and display your User Content solely for the purpose of operating and providing the Service to you.

You represent that you have all necessary rights to your User Content and that it does not infringe upon any third party's rights.

5.2 Content Removal

You may remove your User Content at any time. We reserve the right to remove content that violates these Terms. When you delete your account, we will delete your User Content, though cached copies may persist for a limited time.

5.3 AI Processing

The Service uses artificial intelligence to process your videos. Your uploaded content may be processed by third-party AI service providers (such as Google Cloud) in accordance with our Privacy Policy. We do not use your User Content to train AI models.

6. Copyright and Takedown

If you believe that content on the Service infringes your copyright or intellectual property rights, please contact us at legal@reelzap.app with the following information:

Identification of the copyrighted work;
Identification of the allegedly infringing material;
Your contact information;
A statement of good faith belief that the use is unauthorized;
A statement, under penalty of perjury, that the information is accurate.

We will investigate and take appropriate action, which may include removing the infringing content.

7. Paid Services and Subscriptions

7.1 Pricing

Certain features of the Service require a paid subscription. Prices are displayed in the app and may vary by region. All prices include applicable taxes unless stated otherwise.

7.2 Billing

Subscriptions are billed through the Apple App Store or Google Play Store. Payment terms are governed by the respective store's terms of service. We do not directly process your payment information.

7.3 Auto-Renewal

Subscriptions automatically renew at the end of each billing period unless you cancel before the renewal date. You can manage or cancel your subscription through your device's app store settings.

7.4 Refunds

Refund policies are governed by the Apple App Store or Google Play Store terms. We do not directly process refunds.

7.5 Credits

The Service may use a credit-based system. Credits are consumed when processing videos. Unused credits expire according to your subscription plan terms. Credits are non-transferable and non-refundable.

8. Changes to the Service

We may modify, update, or discontinue any part of the Service at any time. We will make reasonable efforts to notify you of material changes that adversely affect you.

9. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will notify you via the Service or by email. Continued use of the Service after changes take effect constitutes your acceptance of the updated Terms.

10. Account Termination

10.1 By You

You may stop using the Service and delete your account at any time through the Account settings in the app.

10.2 By Us

We may suspend or terminate your access to the Service if you violate these Terms, or for any other reason at our reasonable discretion with prior notice where practicable.

11. Intellectual Property

The Service, including its design, code, branding, and all related intellectual property, is owned by Spooky House Studios UG. Nothing in these Terms grants you any rights to our intellectual property except as expressly stated.

12. Mobile Applications

The Service is available as a mobile application through the Apple App Store and Google Play Store. Your use of the app is also subject to the respective store's terms. In particular:

Apple and Google are not responsible for the Service or its content;
Apple and Google have no obligation to provide maintenance or support for the app;
Apple and its subsidiaries are third-party beneficiaries of these Terms (for the iOS app).

13. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT GUARANTEE THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SPOOKY HOUSE STUDIOS UG SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY SHALL NOT EXCEED THE GREATER OF (A) €100 OR (B) THE AMOUNTS YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM.

Nothing in these Terms excludes or limits liability for death, personal injury caused by negligence, fraud, or any other liability that cannot be excluded under applicable law.

15. Indemnification

You agree to indemnify and hold harmless Spooky House Studios UG and its officers, directors, employees, and agents from any claims, damages, or expenses arising from your use of the Service or your violation of these Terms.

16. Governing Law and Dispute Resolution

These Terms are governed by the laws of the Federal Republic of Germany, without regard to its conflict of laws provisions.

Any disputes arising from these Terms or the Service shall be resolved by the competent courts in Leipzig, Germany, unless mandatory consumer protection laws of your country of residence provide otherwise.

If you are a consumer in the European Union, you may also use the European Commission's Online Dispute Resolution platform at https://ec.europa.eu/consumers/odr.

17. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.

18. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Spooky House Studios UG regarding the Service.
